Terms of Service

Effective Date: September 29, 2026

These Terms of Service ("Terms") govern your access to and use of DayTradeDrill, including its websites, applications, historical market replay tools, manual and automated backtesting tools, cloud synchronization features, code execution features, and related services (collectively, the "Service").

The Service is operated by Suzhou Guanlan Jianwei Information Technology Studio, an individual-run industrial and commercial household registered in Suzhou, Jiangsu Province, People's Republic of China ("DayTradeDrill", "Guanlan Jianwei", "we", "us", or "our").

By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Lawful Use

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.

You are responsible for ensuring that your use of the Service is lawful where you are located. We may restrict registration, access, purchases, or features where required by law, sanctions, export controls, or operational requirements.

2. The Service

DayTradeDrill provides software tools for historical market replay, trading practice, manual backtesting, automated backtesting, indicator research, strategy research, and related analytical workflows.

Features may include, depending on your plan:

  • historical chart replay and practice;
  • manual trade simulation and review;
  • automated backtesting;
  • user-created indicators and strategy code;
  • importing and processing historical K-line or other market data locally in your browser; these files are not uploaded to DayTradeDrill;
  • cloud storage and synchronization of user-created code and configurations; and
  • performance statistics, charts, reports, and other analytical outputs.

We may add, modify, limit, or discontinue features over time. Material changes that materially reduce a paid plan during an active billing period will be handled reasonably and subject to applicable law.

3. Accounts and Account Security

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for activity conducted through your account, except to the extent caused by our failure to use reasonable security measures.

You must promptly notify us at support@daytradedrill.com if you reasonably believe your account has been compromised.

You may not sell, transfer, rent, or share an account in a way that circumvents plan limits, security controls, or licensing restrictions.

4. Plans and Usage Limits

DayTradeDrill may offer free features and paid subscription plans, including Plus and Pro. The features, quotas, execution limits, storage limits, prices, and billing intervals applicable to each plan are shown on the pricing or checkout page at the time of purchase.

We may change plan features or limits from time to time. Changes to pricing for an existing subscription will be communicated before they take effect to the extent required by applicable law and the applicable Paddle terms.

5. Purchases, Paddle, and Automatic Renewal

Paid subscriptions are purchased through Paddle, our online reseller and Merchant of Record. Paddle processes the transaction, collects applicable taxes, handles payment processing, and administers transaction-related billing, cancellation, and refund processes under Paddle's buyer terms and refund policy. We remain responsible for providing and supporting the DayTradeDrill product.

Before you purchase a subscription, the checkout will identify the plan, price, billing interval, amount due, and recurring nature of the subscription.

Unless you cancel, a paid subscription automatically renews for successive periods corresponding to the selected billing cycle, and Paddle may charge the payment method associated with the subscription. By completing the purchase, you authorize recurring charges as disclosed at checkout.

Your purchase through Paddle is also subject to Paddle's applicable Buyer Terms and Refund Policy. If there is a conflict concerning payment processing, taxes, refunds, or the Paddle transaction itself, Paddle's applicable buyer terms govern that transaction to the extent required by Paddle's role as Merchant of Record.

6. Cancellation, Plan Changes, and Refunds

You may cancel a paid subscription at any time through the subscription-management functionality made available in your DayTradeDrill account or through Paddle's customer portal or support process. Cancellation ordinarily takes effect at the end of the then-current billing period, and you will not be charged for a later renewal after the cancellation takes effect.

We will not require you to contact us by telephone in order to cancel an online subscription.

Refunds are processed by Paddle. Unless required by applicable law or otherwise approved through Paddle, transactions may be non-refundable. Please review the separate Billing, Cancellation & Refund Policy for additional information.

If you upgrade or downgrade between Plus and Pro, the effective date, proration, credits, and next billing amount will be shown through the applicable subscription-management flow where available.

7. User Content and Ownership

"User Content" means content you create, save, synchronize, submit, or otherwise store through account features, including indicator code, strategy code, scripts, parameters, configuration files, notes, saved session review results, and related materials. It does not include historical market-data files that you import and process only in your browser; those files remain on your device and are not received or collected by DayTradeDrill.

You retain your ownership rights in your User Content. These Terms do not transfer ownership of your private strategy code, indicator code, locally imported market data, or other User Content to us.

When you transmit User Content to or store it with the Service, you grant us a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, format, process, cache, back up, and synchronize that content solely as reasonably necessary to:

  • provide the features you request;
  • operate, secure, troubleshoot, and maintain the Service;
  • prevent abuse, fraud, or security incidents; and
  • comply with law or valid legal process.

This license ends when the relevant User Content is deleted from our active systems, except for temporary residual copies in backups, security records, or records we are legally required to retain. Pine scripts run in your browser; we store them only if you choose to use cloud synchronization.

We do not use private strategy code or private indicator code to train general-purpose artificial intelligence or machine-learning models unless you separately and affirmatively opt in to such use.

8. Your Responsibilities for Market Data and Code

You are responsible for ensuring that you have the rights, licenses, permissions, and lawful authority necessary to use your local market-data files and to store or synchronize User Content through the Service.

Do not use the Service to store or synchronize code or other materials in violation of a third party's copyright, database right, contract, exchange-data license, confidentiality obligation, trade-secret right, or other proprietary right. Local market-data files are processed in your browser and are not uploaded to DayTradeDrill.

The Service is not intended to be used to redistribute third-party market data to other users in violation of applicable licenses or terms.

You are responsible for reviewing your code and research logic. We do not verify that your strategy, indicator, dataset, assumptions, corporate actions, session definitions, commissions, slippage, or other model inputs are correct.

9. Code Execution and Acceptable Use

Where the Service permits execution of user-submitted code, that code may be run in restricted or sandboxed environments and may be subject to limits on CPU time, memory, storage, network access, concurrency, execution duration, package availability, or other resources.

You must not use or attempt to use the Service to:

  • deploy malware, ransomware, spyware, cryptominers, botnets, or destructive code;
  • probe, scan, attack, or gain unauthorized access to systems, networks, accounts, or data;
  • escape or bypass a sandbox, container, permission boundary, rate limit, or security control;
  • interfere with or degrade the Service or another user's access;
  • scrape, copy, or extract the Service in violation of applicable law or these Terms;
  • process unlawful content or facilitate fraud or other illegal activity;
  • infringe intellectual-property, privacy, confidentiality, or contractual rights; or
  • consume resources in an abusive manner or circumvent applicable plan limits.

We may suspend, terminate, throttle, isolate, or delete executions or content that we reasonably believe create a security, legal, operational, or abuse risk.

10. Research Outputs and Data Accuracy

Backtests, replays, simulations, statistics, charts, and other outputs may be affected by data quality, missing data, survivorship bias, look-ahead bias, execution assumptions, timestamp conventions, market microstructure, commissions, slippage, rounding, software defects, and many other factors.

Results may differ materially from actual market outcomes. You are responsible for independently validating any result before relying on it.

We do not guarantee the accuracy, completeness, availability, continuity, or fitness of any market data, calculated indicator, simulated fill, backtest result, or analytical output.

11. No Investment, Brokerage, or Trading Advice

DayTradeDrill is a software, research, analytical, and educational tool. The Service does not provide investment advice, financial advice, brokerage services, portfolio management, fiduciary services, tax advice, legal advice, or personalized recommendations to buy, sell, hold, or trade any financial instrument.

Historical, hypothetical, simulated, or backtested performance does not guarantee future results. Trading and investing involve risk, including the possible loss of principal.

You are solely responsible for your investment and trading decisions. Nothing generated by the Service should be treated as a representation that any strategy will be profitable or suitable for you.

12. Third-Party Services

The Service may rely on or interoperate with third-party services, including payment processors, hosting providers, authentication providers, infrastructure providers, and other technical vendors.

Third-party services are governed by their own terms and privacy practices. We are not responsible for third-party products or services except to the extent required by applicable law.

13. Intellectual Property in DayTradeDrill

Except for User Content and third-party materials, DayTradeDrill and its software, interfaces, designs, documentation, trademarks, branding, text, graphics, and other materials are owned by us or our licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your own lawful personal or internal business research purposes during the period in which you are authorized to use it.

You may not copy, resell, sublicense, reverse engineer, decompile, or create derivative works from the Service except where such restriction is prohibited by applicable law.

14. Feedback

If you voluntarily provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without obligation to you, provided that this does not give us ownership of your private User Content.

15. Suspension and Termination

You may permanently delete your account from the Account Dashboard after signing in and confirming the email address on the account. Account removal deletes your profile, saved session review results, and Pine scripts stored through cloud synchronization from active account systems. Pine scripts and market-data files that remain only on your device are not deleted by this process.

If you have an active subscription, we place it in a queue for immediate cancellation. Cancellation may take time to complete with the payment provider. Deleting an account does not create a refund or remove charges already due. You can contact support@daytradedrill.com if you cannot use the self-service flow.

We may retain a minimal account identifier in legal-consent and deletion or subscription-cancellation audit records, and retain or detach payment records as needed for accounting, support, disputes, security, or legal obligations. We limit retained information to what is reasonably necessary and remove account content from active systems, subject to backup cycles and lawful retention.

We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay applicable charges, abuse the Service, or if continued provision of the Service becomes unlawful or impracticable.

Where reasonable and legally permitted, we will provide notice and an opportunity to remedy a breach before terminating a paid account. We may act immediately where necessary to address fraud, abuse, security threats, legal requirements, or risks to users or infrastructure.

Termination does not automatically create a right to a refund except where required by law or Paddle's applicable terms or refund policy.

16. Service Availability and Changes

We aim to provide a reliable Service, but we do not promise uninterrupted or error-free operation. Maintenance, outages, third-party failures, security events, network issues, capacity limits, or other events may affect availability.

We may modify or discontinue the Service or particular features. If we permanently discontinue a material paid feature during a prepaid period, we will address the unused portion in a commercially reasonable manner, which may include migration, continued access for a transition period, credits, or a refund processed through Paddle where appropriate.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY BACKTEST, SIMULATION, STRATEGY, INDICATOR, DATASET, OR RESULT WILL BE ACCURATE, PROFITABLE, OR SUITABLE FOR ANY PURPOSE.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER DAYTRADEDRILL NOR ITS OPERATOR, SERVICE PROVIDERS, OR LICENSORS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; TRADING OR INVESTMENT LOSSES; OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID FOR YOUR DAYTRADEDRILL SUBSCRIPTION DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

19. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless DayTradeDrill and its operator from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of the Service, your User Content, your violation of these Terms, or your infringement of another person's rights.

This section does not require a consumer to indemnify us for our own unlawful conduct, gross negligence, or willful misconduct where such limitation would be prohibited by law.

20. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict-of-laws principles.

Subject to any mandatory rights or protections available to you under applicable law, disputes arising out of or relating to these Terms or the Service are subject to the jurisdiction of the competent courts in Suzhou, Jiangsu Province, People's Republic of China.

Nothing in these Terms is intended to waive or restrict a right or remedy that cannot lawfully be waived or restricted.

21. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will provide reasonable notice through the Service, by email, or by another appropriate method before the change takes effect where required by law.

The updated Terms will state a new effective date. Changes will not apply retroactively to a dispute that arose before the updated Terms became effective unless applicable law permits otherwise.

22. Miscellaneous

If a provision of these Terms is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. Our failure to enforce a provision is not a waiver of that provision.

You may not assign these Terms without our prior written consent, except where applicable law gives you a non-waivable right to do so. We may assign these Terms in connection with a reorganization, sale, transfer of the Service, or similar transaction, subject to applicable law.

These Terms, together with policies expressly incorporated by reference, constitute the agreement between you and us concerning your use of the Service.
